As a citizen, you are expected to know the laws of the land. Most of the time, however, they are obvious. As long as you obey all traffic signals, file your taxes on time, don't get into fights with the neighbors, and never attack anyone, you are unlikely to fall afoul of the law. Corporate law is quite a bit different. Company law is a mas of different intersecting jurisdictions, requirements, and rules. A lot of them are liable to confuse even the most sophisticated executives. After all, precedents and interpretation play such a big role in it. That is why it is important to have as good of a grasp on company law as possible.

I work for a large corporation, so I know what I'm talking about. We don't have to feel squeamish about approaching legally contentious topics. We have more than enough money that, were things to go sour and we to have to settle a lawsuit, we would be able to do it easily. All of our executives make 100k dollars a year or more. Nonetheless, we have at least two experts in company law on the board at all times. Every decision we make has to go past them.

Of course, there is another side to company law as well. Corporate law doesn't just mean avoiding breaking the law of the land, but also avoiding conflicts within the company. Company law, after all, needs to take in the laws of human nature. It can be quite problematic to break a federal regulation, but it can be even worse to have significant fights within the office. Personality conflicts can cost you more money than all but the greatest settlements. Having rules within the company for resolving conflicts before they start is crucial. Even if everyone is getting along well today, that doesn't mean they will be tomorrow.

Knowing about company laws is also important for an individual business career. Basically, even if you aren't a legal professional, you need to know all of the relevant regulations. Knowing OSHA safety standards, what laws govern conflicts of interest, and anything else that might be relevant to your particular place of business will make you a more attractive prospect for any future employers. After all, about the worst thing you can do is to unwittingly break the law. If you don't know what you're doing, you won't know what hit you.
